Ferretti Group: Bologna court dismisses in full KKCG Maritime’s application for interim relief against the company.

2026年10月13日

Forlì, 13 October 2026 – Ferretti S.p.A. (“Ferretti” or the “Company”), further to its press release dated 11 June 2026, announces that the Court of Bologna, Specialised Business Division, by an order dated 12 October 2026, has dismissed in full the application for interim relief filed by Azúr a.s. (“Azúr” or “KKCG Maritime”), challenging resolutions adopted at Ferretti’s Shareholders’ Meeting held on 14 May 2026.

The application sought the immediate suspension of the effectiveness of key shareholders’ resolutions concerning the determination of the number of members of the Board of Directors, the appointment of the Board and its Chairman, and the appointment of the Board of Statutory Auditors. KKCG Maritime also requested a recount of the votes cast at the Shareholders’ Meeting, excluding those cast by Ferretti International Holding S.p.A. (“FIH”).

The measures requested could have directly affected the composition of the Company’s governing bodies, including the Board of Directors appointed on 14 May 2026, and consequently the leadership and governance of Ferretti Group.

The Court rejected all requests for interim relief, finding that the necessary prima facie legal basis (fumus boni iuris) was lacking in respect of all the grounds of invalidity raised by KKCG Maritime.

In particular, the Court found that the establishment in 2016 of the Ferretti Security Division (“FSD”), whose activities are now residual in nature, did not trigger an obligation under Italian Golden Power legislation to notify the shareholding already held by FIH. Consequently, the prerequisite for the alleged suspension of FIH’s voting rights was not met.

The Court also found, within the scope of the interim proceedings, that the allegations concerning the purported existence of undisclosed shareholders’ agreements and the alleged abuse of voting rights by FIH were unfounded.

Ferretti welcomes the decision of the Court of Bologna, which dismissed in full the interim relief sought by KKCG Maritime and, at this stage of the proceedings, upheld the legal arguments advanced by the Company.

The proceedings concerning the merits of the underlying challenge remain pending. The Company will continue to defend its position and protect its interests in accordance with applicable law.

Following this decision, Ferretti confirms that its duly appointed corporate bodies remain fully operational and continue to exercise their respective responsibilities and authority.

The Board of Directors and management remain firmly focused on executing the Company’s business plan, strengthening its competitive position, delivering excellence to its customers worldwide and creating sustainable long-term value for all shareholders.
